Terms of Service

1. Definitions

In these Terms:

• "Thorero" — The software platform, website, applications, dashboards, AI services, reports, and related services operated by Two Stone Nig Ltd.
• "Company" — Two Stone Nig Ltd (RC 1405761).
• "User" — Any individual authorised to use Thorero.
• "Customer" — Any organisation subscribed to Thorero.
• "Content" — Data, files, reports, images, records, documents, and information uploaded to Thorero.

2. Eligibility

Users must:

• Be authorised by an organisation or account owner
• Use the platform lawfully
• Provide accurate information
• Maintain account security

3. Account Registration

Users may be required to create accounts. Users are responsible for maintaining password confidentiality, protecting credentials, and reporting unauthorised access immediately.

Users are responsible for activities occurring under their accounts.

4. License to Use Thorero

Subject to compliance with these Terms, Thorero grants a limited, non-exclusive, non-transferable, revocable licence to access and use the platform.

This licence does not grant ownership of the software.

5. Acceptable Use

Users agree to use Thorero only for legitimate business purposes. Users shall not:

• Attempt unauthorised access
• Reverse engineer the platform
• Copy or redistribute software
• Interfere with platform operation
• Upload malicious software
• Circumvent security controls

6. Customer Data

Customers retain ownership of data uploaded into Thorero.

Examples include asset information, work orders, inspection records, incident reports, training records, permit records, and any other operational records the Customer chooses to upload.

The Company does not claim ownership of Customer data.

7. Data Processing

The Company may process Customer data solely for providing services, system maintenance, support services, security monitoring, and platform improvements.

Data will not be sold to third parties.

8. Artificial Intelligence Features

Thorero may provide AI-powered assistance and insights. Users acknowledge that AI outputs are advisory, that AI responses may not always be accurate, and that users remain responsible for decisions made using AI-generated content.

The Company shall not be responsible for business decisions taken solely based on AI recommendations.

9. Intellectual Property

All rights relating to Thorero remain the exclusive property of Two Stone Nig Ltd. This includes software, source code, trademarks, logos, documentation, design elements, workflows, AI models, and reports.

No ownership rights are transferred to users.

10. Fees and Payments

Where applicable, Customers agree to pay fees associated with subscriptions, implementations, training, and support services.

Failure to pay may result in suspension, access restrictions, or termination.

11. Platform Availability

The Company will use commercially reasonable efforts to maintain service availability.

Users acknowledge that maintenance, updates, outages, and unforeseen events may occasionally affect availability. No guarantee of uninterrupted service is provided.

12. Security

The Company implements reasonable measures to protect the platform and user data.

Users shall maintain password security, enable MFA where available, and report suspected breaches immediately.

13. Third-Party Services

Thorero may integrate with third-party services. The Company is not responsible for third-party availability, third-party content, or third-party performance.

14. Termination

The Company may suspend or terminate access for terms violations, security concerns, illegal activity, or non-payment.

Users may discontinue use at any time.

15. Effect of Termination

Upon termination, access may be removed, licence rights cease, and Customer data may be made available for export subject to platform policies and the retention schedule described in the Privacy Policy.

16. Disclaimer of Warranties

Thorero is provided "AS IS" and "AS AVAILABLE."

The Company makes no warranty that services will be uninterrupted, that services will be error-free, or that results will meet specific expectations.

17. Limitation of Liability

To the maximum extent permitted by law, Two Stone Nig Ltd shall not be liable for indirect damages, consequential damages, profit loss, revenue loss, business interruption, or data loss caused by customer actions.

Liability shall not exceed fees paid by the Customer during the preceding 12 months.

18. Confidentiality

Both parties shall protect confidential information obtained during the course of service delivery.

19. Force Majeure

Neither party shall be liable for delays caused by:

• Natural disasters
• Government actions
• Internet disruptions
• Acts of war
• Other events beyond reasonable control

20. Changes to These Terms

The Company may update these Terms periodically. Updated versions shall become effective upon publication. Continued use constitutes acceptance of revised Terms.

21. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Disputes shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction in Nigeria.
